When I was in graduate school, I had the discipline to study hard, get involved in various club organizations that catered to diversifying my abilities in business and finance but always felt that something was lacking. We would learn about economics within the capitalist and communist systems, pros and cons of globalization, big government, the instability of non-entrepreneurial markets and every other concept that catered to our professor’s desire to legitimize their theories by blasting out intimidating formulas that were true in theory but impossible in real life. If an economic stimulus is fully functional on paper due to formulas and calculation yet has never and will never work in the ‘real world’, what’s the point?
I’m not eight years out of university and running a clean environment facility manufacturing everything from surgical equipment to dual circuit transistors and as I’ve grown into my career I’ve tossed the text books as a reference as it was getting me nowhere and started researching strategic economics with special attention focused on turning corporations and urban landscapes around from the black hole of absolute demise to a gleaming representation of socially responsible economic turnaround, without the government’s corrupt fangs plunging into the veins of the community. This concept of economic strategy has been labeled ‘Zeitgeist Economics’, a completely original political economic strategies concept that turns a blind eye to the bloodletting concepts by unproven governmental organizations that jack taxes, minimize citizen options, push back retirement age to correct the mistakes of the ill-informed yet uncompromising politicians that don’t know the difference between political economics and sock mending.
The headmaster and intellectual giant leading the Zeitgeist Economics movement is James Scott, Founder of a global strategies firm called Princeton Corporate Solutions in Manhattan, New York. The term ‘Economic Zeitgeist’ means the awakening of a population fueled by the intellectual capacity and drive to demand change with data driven evidence of establishment perpetuated failure. The movement does sacrifice momentum with time wasting concepts like protests or letter writing; instead those involved in this movement use the unwritten rules of the system to force change within the system. Most E.Z. participants have MBA or PhD. degrees with powerful legislative experience to create PAC, Lobby and think tank organizations that assist them in forcing the hand of change.

It’s that time of year where political upstarts and long shots as well as career politicians and senior statesmen are all aligning themselves for optimal image disbursement for elections. Re-imaging and ‘power by association’ is a major component pre-election, pre run campaigns. Congressmen, to be a beacon in the tsunami environment in a city that is in a constant mode of crisis response need the specialists of the specialists to drive results with minimal interruption. I work for a congressman that has been in the game for 20+ years. I started as an intern and am currently a legislative research consultant. On an hourly basis we find ourselves teleported to the guillotines for execution by gossip, manufactured crisis and upstarts willing to do whatever it takes to gain a temporary stronghold on a vote.
Each election everyone scurries to hire not just any consultant, but the right consultant and you hire the right consultant based off of their contacts to those who possess the real power and influence to condense entire subgroups and categories into one, singular communication point. Precision in this aspect is crucial. There are the typical consultants that are mainstream that offer proposals and have websites and try to network to ease the end result of obtaining contracts during elections.
Outside of the mainstream consultants and campaign strategists are those fluent in the ‘black arts’ of strategy. These are the consultants with global reach, unrivaled power and contacts and the most important characteristic of this specialist is the ability to spin a crisis into a favorable end result that blows up in the face of its initiating entity. These strategists are the most elite and they are not found in the yellow pages, organization networking profiles or website advertisements. They are the invisible, we’ve used the same strategist for years and I only knew his as ‘the ghost’ and to be honest I was almost afraid to know any more than that. He would float around America, Europe and Asia and trying to track him down was something we had to initiate a minimum of three months before we needed him to work on our project, yes, he is truly that good.

Taking Your Company Public? Post Public Investor Relations Can Make Or Break Your Company Going public is an amazing undertaking with the light anticipated at the end of the tunnel is increased market share, financial stability and of course the almighty strategy of growth through acquisition. The problem is for most companies that light at the end of the tunnel isn’t anything even remotely close to the above; instead it’s a train that will crush you under it’s weight as it’s steaming full speed ahead. That train is a personification of the ‘lack’ of solid investor relations strategies in your post public existence.
Investor relations is the process of working with broker dealers, market makers, stock alert services, press release distribution, fielding calls from the media, potential investors and others interested in your company as well as general publicity to get your executive, company name and trading symbol on as many TV screens, radio waves, social media platforms and email boxes as possible.
The above is the traditional comprehension of a ‘newbie’ public CEO. What most new public CEOs lack the understanding of the post public IR concept so they don’t know what questions to ask the IR firm and have no knowledge to compare services so they sign a crap deal, the stock price doesn’t open, then plummets and everyone begins pointing the finger and on and on with the blame game.

Many times companies stand at the threshold of massive stardom but carry the burden of dead weight management that simply take up space and increase salary costs. The company needs to eliminated them and recruit qualified management but there is often an emotional element at play here which makes it difficult to take the garbage out to the curb on trash collection day.
There are many corporate cautionary tales here. Companies that could have been but never were are a dime a dozen because they lacked the motivation to get past that emotional ingredient that paralyzes them, not allowing them to fire someone who has become a buddy. Your mind will play all kinds of tricks on you by telling you that: this guy has a family, you and he have a history, you can’t just fire someone who helped build this company and so on. What you are forgetting here is that the presence of this individual is jeopardizing the careers and livelihood of everyone else involved so this action of elimination is serving the greatest good.
Make things easy on yourself. Hire a management or expansion consultant. These people are use to being labeled as the bad guy and have thick skin allowing them to cut through the emotional BS and capture the reality of what will help your company get to the next level. They will make their decision on professional pedigree, executive contact portfolio, who can handle themselves best in a public or panel discussion setting, who has the most desirable track record for attracting the best executive candidates and so on.

One of the most profitable investment solutions for an accredited investor is the almighty Pre IPO, seed capital opportunity. Though extremely profitable this transaction is not for the non accredited or amateur investor. The risks are numerous such as how long it will take the company to achieve it’s symbol, post public market creation and investor relations, corporate publicity, SEC audit and the ‘C’ level executives’ professional pedigree just to name a few.
But when one takes all of this into consideration it is ideal to team up with a brokerage or consulting firm who specializes in the task of corporate strategies and IPOs. When a motivated and seasoned investor aligns himself/herself with a solid firm with who has access to IPO’s it can be an extremely profitable venture and one of the few win/win situations in the investment industry.
Having access to a steady stream of Pre IPOs allows an investor to diversify in highly sought after and deeply discounted seed stock and also creates a rewarding solution for the IPO facilitators as they are raising capital and qualifying the company for it’s offering.

With global economics the way they are it would be redundant to rant and rave about the downsides of corporate fund-raising. Quick infusions of cash from venture capital firms and institutional lenders are on hold and it is what it is but companies are becoming creative and corporate attention is steering away from the problems and toward the solutions.
The US and Chinese markets are intertwined in many ways and now a new trend in finance is making the relationship even closer. It’s a fact that Chinese corporations are still trying to figure out how to make their domestic stock market profitable and stable. Many of these companies have global ambitions with unique technology solutions business products and strategies but because of the week Chinese economy (compared to the power of other currencies) they have no choice but to head to the Frankfurt Exchange or the OTCBB market here in the United States.
As a corporate consultant that facilitates the process of going public for both domestic and global entities I have received maybe 5 to 10 calls per year from Chinese companies wanting to set up American corporate subsidiaries to absorb their foreign corporations and trade on the Bulletin Boards but all that has changed. I now receive 5 to 10 calls from Chinese and Indian companies per week to take advantage of the global market place that centers around America’s gravitational pull.

We get calls all day, every day from companies that talk about ‘wanting’ real corporate publicity that will transform their company but few have the stomach for what it really takes and even fewer have the financial dedication it takes to obliterate their competition and take their rightful place at the top of the food chain.
Of course it’s important to cater to the traditional media (TV, radio, newspaper, industry journals, etc) but the genre of publicity that wins every time is viral publicity consisting of video, social and news bookmarks, article submissions, press release submissions and photo/logo sharing sites. The reality is online publicity is where you’re going to completely annihilate your competitors and claim your rightful position.
When you take into consideration the ultra powerful medium and stealth of viral publicity, all other promotional genres cower in comparison. Online your pre public or post public company will claim instant viewers and a cult-like following that TV and radio can’t even remotely compare. Billions of searches take place every day and it is the viral publicists job to do what SEO and traditional publicists can’t do and that is get solid search engine ranking while simultaneously bringing in powerful results that are targeted and strategically placed.

PIPE: Private Investment In Public Equity this is used primarily by mutual funds and private investment firms where they buy discount stock in order to raise capital, there are two types of PIPEs traditional where common and preferred stock is issued at a set cap to raise money for the issuer and a structured pipe issues convertible debt.
DPO: Direct Public Offering is when you sell equity shares directly to customers, suppliers and employees.

Many entrepreneurs and executives want to move forward with the process of going public merely for the ability to raise capital through the sale of stock. So many companies dream of going public to raise massive amounts of capital, as set up for an exit strategy, to make acquisitions with stock and for many other reasons. While your intentions may be pure and with genuine motives, you’re entering shark infested waters of boiler rooms, crooked attorneys and underbelly consultants who have made careers off of taking well intentioned executives just like you for a 24 month rollercoaster ride while they take every penny you have as your company shrivels up like week old road kill.
Just and honest consultants in the ‘public offering’ industry are as rare as the illusive white elephant. This industry exists in a cesspool surrounded by rose gardens; from afar it looks amazing and an image of a dreamland but get up and close and the sludge and odor are enough to make you run and hide. So what do you look for in a consultant? The best consulting firms are the ’boutique firms’ with minimal overhead that keep a low profile and are made up of 3 or 4 ‘partner’ consultants.
